Axeldor Engineering Corp. provides structural engineering design, consultation, and assessment services for residential, commercial, and industrial projects. Our services include feasibility studies, detailed design drawings, structural analysis, permit coordination, and construction administration. The scope and specifics of any engagement will be detailed in a separate service agreement or contract.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. We reserve the right to refuse service to anyone who does not meet these eligibility requirements.
All materials, designs, drawings, analyses, and content provided by Axeldor Engineering Corp., including but not limited to reports, specifications, and calculations, are the intellectual property of the Company unless otherwise agreed in writing. You are granted a limited, non-exclusive license to use these materials solely for the project specified in your contract. Reproduction, modification, or distribution of these materials without written consent is strictly prohibited.
Client-provided materials remain the property of the client, but the Company retains the right to use methodologies, processes, and generalized knowledge gained through the engagement for future projects.
Axeldor Engineering Corp. provides professional services according to industry standards and best practices. However, we do not guarantee specific outcomes. Our liability for any breach of these Terms or our obligations shall not exceed the fees paid for the specific service that gave rise to the claim.
You agree to indemnify, defend, and hold harmless Axeldor Engineering Corp., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the engagement. This includes project details, technical specifications, and business information. Exceptions include information that is publicly available, independently developed, or required to be disclosed by law.
The Company may use anonymized case studies and project references for marketing purposes unless explicitly prohibited in the service agreement.
Invoices are due within 30 days of issuance unless otherwise specified in your contract. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate allowed by law, whichever is lower. The Company reserves the right to suspend services if payment is overdue by more than 30 days.
All fees are exclusive of applicable Harmonized Sales Tax (HST) and other applicable taxes, which shall be added to invoices as required by law.
Either party may terminate the engagement by providing written notice in accordance with the terms specified in the service agreement. Upon termination, you remain responsible for payment of all work completed up to the date of termination. The Company will deliver all work products and materials upon receipt of outstanding payments.
Termination does not relieve you of obligations to pay fees for services rendered or to maintain confidentiality of proprietary information.
Axeldor Engineering Corp. warrants that it will perform services in a professional and competent manner consistent with industry standards. However, we make no warranties regarding specific project outcomes, timelines, or results beyond our direct control.
All services are provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in the service agreement.
We disclaim responsibility for third-party actions, including but not limited to contractor performance, permitting delays, or changes in building codes or regulations.
Except for breaches of confidentiality or indemnification obligations, in no event shall Axeldor Engineering Corp.'s total liability exceed the fees paid by you in the 12 months preceding the claim. Some jurisdictions do not allow limitation of liability, so this provision may not apply to you.
These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation. If negotiation fails, the parties may mutually agree to mediation or arbitration as an alternative dispute resolution mechanism.
Any arbitration shall be conducted in accordance with the Arbitration Act of British Columbia and shall take place in Vancouver, British Columbia.
Your use of our services is also governed by our Privacy Policy. We collect and process personal data in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian privacy laws. We implement appropriate technical and organizational measures to protect your personal information from unauthorized access, disclosure, or loss.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically to stay informed of any updates.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.
